ECLIPS Academy™ — Terms & Conditions

These Terms & Conditions (“Terms”) are a legal agreement between you and ECLIPS Academy™ (“ECLIPS Academy,” “we,” “us,” or “our”) governing your access to and use of our websites, digital products, courses, downloads, and related services (collectively, the “Services”).

By accessing, purchasing, or using any part of the Services, you agree to these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not access or use the Services.

1) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase or access the Services.

2) What We Provide

ECLIPS Academy provides education, training, frameworks, scripts, templates, digital downloads, and online course content related to commercial insurance production and professional development.

All content is provided for educational purposes only.

3) Account Access & Security

If you create an account, you agree to:

• Provide accurate and current information

• Maintain the confidentiality of your login credentials

• Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4) Purchases, Pricing & Payments

• All prices are listed in U.S. Dollars (USD) unless otherwise stated.

• Purchases are processed through our platform and/or third-party payment processors.

• By completing a purchase, you authorize us (and our processors) to charge your selected payment method for the total amount displayed at checkout.

5) All Sales Final / No Refunds

All sales are final. Because our products are delivered digitally and access is granted immediately, we do not offer refunds, returns, or cancellations under any circumstance, except to correct verified duplicate billing errors or where required by law.

Your purchase is governed by these Terms and our Refund Policy, which confirms that all sales are final except where required by law.

6) Digital Delivery

All products are delivered digitally through our online platform. Delivery is considered complete once access credentials and/or product access is provided.

7) License & Permitted Use

Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the purchased materials for your personal professional use, or internal agency use only if you purchased the appropriate number of seat licenses.

You may not:

• Share login credentials

• Share, resell, sublicense, redistribute, or reproduce any materials

• Upload content to shared drives, public sites, or internal libraries without proper licensing

• Use the materials to create competing or derivative training products for resale

8) Seat Licensing (Individuals & Agencies)

Unless explicitly stated otherwise at checkout:

• Individual purchases include one (1) seat / one (1) user login

• Agency or team access requires one seat license per user

• Seat sharing is strictly prohibited

• Seats may not be transferred after access is issued without our written approval

We reserve the right to suspend or terminate access for licensing violations.

9) Intellectual Property

All content—including videos, PDFs, scripts, templates, frameworks, branding, trademarks, and training modules—is owned by ECLIPS Academy and/or its licensors and is protected by intellectual property laws.

No ownership rights are transferred to you.

10) Prohibited Conduct

You agree not to:

• Copy, scrape, hack, reverse engineer, or bypass platform restrictions

• Use the Services for unlawful purposes

• Infringe intellectual property rights

• Misrepresent affiliation with ECLIPS Academy

• Transmit harmful code, malware, or malicious content

11) No Professional Advice / No Guarantees

ECLIPS Academy provides education and training only. We do not provide legal, tax, compliance, underwriting, carrier, or financial advice.

Our content does not replace independent professional judgment, carrier guidelines, underwriting authority, or legal/compliance review.

We make no guarantees regarding outcomes, including but not limited to:

• Sales or revenue results

• BOR conversions

• Client acquisition

• Career advancement

• Any specific financial or production performance

Results depend on individual effort, skill, market conditions, and factors outside our control.

12) Testimonials & Examples

Any testimonials, case studies, or examples provided are illustrative only and do not guarantee similar results.

13) Third-Party Tools & Links

We may reference or link to third-party tools, platforms, or resources. We are not responsible for third-party content, availability, policies, or practices.

14) Termination & Suspension

We may suspend or terminate access to the Services without refund if you:

• Violate these Terms

• Engage in fraud or chargebacks

• Share accounts or redistribute content

• Attempt unauthorized access or misuse of the platform

15) Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

16) Limitation of Liability

To the fullest extent permitted by law, ECLIPS Academy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

Our total liability for any claim will not exceed the amount you paid to ECLIPS Academy for the specific product giving rise to the claim.

17) Indemnification

You agree to indemnify and hold harmless ECLIPS Academy from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of another.

18) Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any dispute shall be brought exclusively in the state or federal courts located in Florida, unless otherwise required by applicable law.

19) Force Majeure

We are not liable for delays or failure to perform due to events beyond our reasonable control, including acts of God, internet outages, platform failures, governmental actions, or other force majeure events.

20) Changes to These Terms

We may update these Terms from time to time. Updates will be posted with a revised “Last Updated” date. Continued use of the Services after changes constitutes acceptance.
